Function

The Deferred Compensation Committee is responsible for the day to day affairs of the Cook County
Deferred Compensation Plan. The Committee oversees the Plan’s administration to ensure that the provisions of the Plan are properly carried out. Duties of the Committee include supervising collection of deferred amounts; determining and authorizing investment options; conducting an annual audit of the Plan’s accounts; authorizing benefit or hardship payments in accordance with plan provisions; and making rules and regulations consistent with the provisions of the Plan that are necessary for the administration of the Plan.

In performing its duties, the Committee has the authority to hold meetings, retain consultants, auditors,
attorneys, employee benefit advisors, investment providers and other consultants as deemed necessary by the Committee to fulfill its oversight responsibilities.

Composition

The Committee consists of at least 9 members appointed from time to time by the County to serve at
the County’s pleasure.

The following individuals are required to serve on the Committee:

1) Cook County Chief Administrative Officer;

2) Cook County Comptroller;

3) Comptroller of the Cook County Forest Preserve District;

4) Representative of the Health Facilities Employees;

5) Cook County Treasurer.

The Committee shall appoint a Chairman to preside over the meetings.

Section 457 of the Internal Revenue Code authorizes the Deferred Compensation Plan. In 2003, the respective Boards of the County and Forest Preserve District approved a Plan Document, which
authorized the creation of the Deferred Compensation Committee.
